Terms of Service

Effective date: to be set at launch

These Terms of Service govern your access to and use of CarbonVM. By submitting an interest application or accessing the service in any way, you agree to be bound by these terms. If you do not agree, do not use CarbonVM.

CarbonVM is operated by a sole proprietor based in Georgia, United States.

Access and eligibility

Access to CarbonVM is not open to the public. CarbonVM grants access at its sole discretion following an application and identity verification process. Submission of an interest application does not guarantee access.

CarbonVM may deny, suspend, or revoke access at any time, for any reason, with or without notice. CarbonVM has no obligation to explain any access decision.

You must be at least 18 years of age to use CarbonVM. You must have the legal authority to enter into this agreement on behalf of yourself or, if applicable, your organization.

Identity verification

Access to CarbonVM requires identity verification through Stripe Identity. You agree to provide accurate, complete, and truthful information during the verification process. Providing false or misleading information will result in immediate and permanent termination of access.

Acceptable use

CarbonVM may be used only for lawful purposes. You may not use CarbonVM to protect, distribute, or deploy software that is designed or intended to cause harm, including but not limited to malware, ransomware, spyware, trojans, keyloggers, exploits, or any software designed to damage, disrupt, or gain unauthorized access to systems, networks, or data.

You may not use CarbonVM to protect software used in violation of any applicable law or regulation, to circumvent intellectual property rights, or to facilitate any illegal activity.

CarbonVM reserves the right to determine, at its sole discretion, whether a submitted binary or use case is acceptable. CarbonVM may decline to protect any binary for any reason.

Violation of this section will result in immediate and permanent termination of access, and may be reported to applicable law enforcement authorities.

Subscriptions and billing

CarbonVM is offered on a subscription basis. Billing is handled through Stripe. By subscribing, you authorize CarbonVM to charge your payment method on a recurring basis in accordance with the plan you select.

Subscriptions renew automatically unless cancelled prior to the renewal date. CarbonVM reserves the right to change pricing with reasonable advance notice to active subscribers.

CarbonVM's refund policy will be specified at launch. Until that time, all payments are non-refundable except where required by applicable law.

Geographic restrictions

CarbonVM is not available to individuals or organizations located in countries subject to applicable U.S. export controls or economic sanctions, including those administered by the Office of Foreign Assets Control (OFAC). CarbonVM also reserves the right to restrict access in any additional jurisdiction at its sole discretion without notice or explanation.

By using CarbonVM, you represent that you are not located in, under the control of, or a national or resident of any such restricted jurisdiction.

Intellectual property

CarbonVM and its underlying technology, including all VM techniques, tooling, and platform infrastructure, are the exclusive property of CarbonVM. Nothing in these terms grants you any ownership interest in CarbonVM or its technology.

You retain ownership of the binaries you submit. By submitting a binary, you represent that you have the right to do so and that the binary does not violate any third party's rights.

Confidentiality

CarbonVM's internal methods, techniques, and platform architecture are confidential. You agree not to reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying methods of CarbonVM's protection technology.

You agree not to publicly disclose, publish, or share details of CarbonVM's internal operation that are not already publicly available without prior written consent from CarbonVM.

Termination

CarbonVM may terminate or suspend your access immediately and without notice for any violation of these terms, for any conduct CarbonVM determines to be harmful or inappropriate, or for any other reason at CarbonVM's sole discretion.

Upon termination, your right to access the service ceases immediately. Provisions of these terms that by their nature should survive termination will do so.

Disclaimer of warranties

CarbonVM is provided "as is" and "as available" without warranty of any kind, express or implied. CarbonVM makes no warranties regarding availability, reliability, fitness for a particular purpose, or that the service will be error-free or uninterrupted.

Limitation of liability

To the fullest extent permitted by applicable law, CarbonVM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of or inability to use the service.

CarbonVM's total liability for any claim arising out of or relating to these terms or the service shall not exceed the amount paid by you to CarbonVM in the three months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless CarbonVM from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the service, your violation of these terms, or your violation of any rights of any third party.

Changes to these terms

CarbonVM may update these terms from time to time. Material changes will be communicated to registered users with reasonable advance notice. Continued use of the service following the effective date of any update constitutes acceptance of the revised terms.

Governing law and disputes

These terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of the State of Georgia.
